1. Acceptance of these terms

These Terms of Service ("Terms") govern your use of the mep-assist.com website (the "Site") and your participation in the MEP Assist™ early-access program. By using the Site or joining the early-access list, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

These Terms cover the Site and early-access list only. Use of the MEP Assist software itself will be governed by a separate licence agreement provided at or before the time you receive access.

2. Description of service

MEP Assist™ is pre-launch software for AI-assisted plumbing and mechanical design. The Site provides information about the product and lets you register interest in early access.

All features, specifications, screenshots, pricing, and timelines shown on the Site are indicative only and subject to change without notice. Joining the early-access list does not guarantee access to the product, any particular feature, or any pricing. We may modify, suspend, or discontinue the early-access program at any time, and we may accept or decline early-access registrations at our discretion.

3. Eligibility

The early-access program is intended for professionals, firms, and students working or training in building design, engineering, and construction. To use the Site or join the early-access list, you must have reached the age of majority in your jurisdiction and have the legal capacity to enter into a binding agreement. If you register on behalf of a firm, you represent that you have authority to bind that firm to these Terms.

5. Intellectual property

MEP Assist™ is a trademark of CRSM Technologies Ltd. (Canadian registration pending). All content on the Site — including text, graphics, logos, page designs, and underlying code — is owned by CRSM Technologies Ltd. or its licensors and is protected by Canadian and international intellectual-property laws.

You may view and print Site content for your own informational use. You may not otherwise reproduce, distribute, modify, or create derivative works from Site content without our prior written permission. Nothing in these Terms grants you any licence to the MEP Assist software or any of our intellectual property except as expressly stated.

6. Feedback

If you send us ideas, suggestions, or other feedback about MEP Assist or the Site — whether through the early-access program, email, or otherwise — you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose, including improving and commercialising our products, without any obligation or compensation to you. Do not send us feedback that is confidential or that you do not have the right to share.

7. No professional advice

Content on the Site is provided for general information only and does not constitute engineering, design, code-compliance, or other professional advice. MEP Assist is a design aid: any outputs produced by the software, and any technical information on the Site, must be independently reviewed, verified, and approved by a qualified professional who takes responsibility for the design before it is used in any construction, permitting, or procurement context. You remain solely responsible for compliance with applicable building codes, standards, and professional-practice requirements in your jurisdiction.

8. Disclaimer of warranties

The Site, the early-access program, and any pre-release materials are provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied, or statutory — including, without limitation, implied warranties or conditions of merchantable quality, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that information on the Site is complete or current.

Some jurisdictions do not allow the exclusion of certain warranties or conditions, so some of the above exclusions may not apply to you. In that case, the exclusions apply to the maximum extent permitted by applicable law.

9. Limitation of liability

To the maximum extent permitted by applicable law:

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including under applicable consumer-protection legislation.

10. Indemnity

You agree to indemnify and hold harmless CRSM Technologies Ltd. from any claims, damages, and reasonable legal costs arising from your breach of these Terms or your unlawful use of the Site.

11. Third-party links and services

The Site may contain links to third-party websites or rely on third-party services (such as hosting and analytics providers identified in our Privacy Policy). We do not control and are not responsible for the content, policies, or practices of any third party.

12. Changes to these terms

We may update these Terms from time to time, particularly as the product moves toward launch. The effective date at the top of this page reflects the latest revision. If we make material changes and you are on our early-access list, we will notify you by email. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

13. Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-laws principles. You agree that the courts of British Columbia have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Site, and you consent to venue in Vancouver, British Columbia. Nothing in this section limits any mandatory rights you may have under the consumer-protection laws of your place of residence.

14. General

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and CRSM Technologies Ltd. regarding the Site and the early-access program.
